Terms of Service for Lokiii Services Pty Ltd

Effective Date: May 14, 2025

1. Operation of this Agreement

This Agreement consists of these Terms and any referenced documents. It begins when Lokiii starts providing services on your instructions, and ends when terminated as outlined below. No employment or partnership relationship is created.

2. Scope of Services

Lokiii provides services including practice management, software integration, installation, training, managed IT, and administrative tasks related to LEAP, MYOB, XERO, and other platforms.

• Each party agrees to perform obligations with reasonable care and comply with applicable laws and standards.

3. Fees and Payment Terms

• Services are charged at the Standard Hourly Rate listed on www.lokiii.com.au, billed in six-minute increments.
• Invoices are due within 7 days; late payments may incur interest at the Reserve Bank of Australia Cash Rate plus 2%.
• Additional costs such as travel or third-party fees are charged at cost plus GST.
• Fee estimates are indicative and subject to change if scope varies.
• Services may be suspended if fees remain unpaid after notice.

4. Confidentiality and Compliance

All information provided will be treated confidentially unless disclosure is required by law or professional standards. You consent to file reviews by professional bodies if necessary.

5. Intellectual Property

• Each party retains ownership of pre-existing intellectual property.
• Materials prepared by Lokiii for you remain your property.
• Lokiii retains ownership of general working papers and drafts.
• Your materials are held until outstanding fees are fully paid.

6. Limitation of Liability

Lokiii provides services "as is" without warranties and is not liable for indirect, consequential, or special damages, except where liability cannot be excluded by law. This includes penalties from delayed information and statutory audits.

7. Termination

• Either party may terminate with 30 days written notice.
• Immediate termination may occur for insolvency, material breach, or failure to remedy breaches.
• Upon termination, fees owed must be settled within 7 days, and confidential information returned or destroyed.

8. General

• Variations to this Agreement must be written and signed.
• If any part is unenforceable, the rest remains effective.
• This Agreement is governed by the laws of Queensland, Australia, with disputes under Queensland courts’ jurisdiction.
